These Terms of Service (the "Terms") govern your access to and use of SellerPipe (the "Service"), operated by Wyrmspire LLC ("Wyrmspire," "we," "us"). By creating an account, authorizing SellerPipe against a Seller Central or Amazon Advertising account, or otherwise using the Service, you ("you") agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. The Service
SellerPipe is an ETL (extract, transform, load) service that connects to Amazon Selling Partner ("SP-API") and Amazon Advertising APIs on your behalf, retrieves operational data, and loads it into a destination warehouse you control (typically a Google BigQuery project). The exact features available to you may depend on your subscription plan, the API scopes you grant, and your eligibility for Amazon programs (such as Brand Registry).
2. Eligibility
You must be at least 18 years old and capable of entering into a legally binding contract to use the Service. You must have valid authorization to connect any Seller Central or Amazon Advertising account you authorize through SellerPipe. We may refuse to provide the Service to anyone, in our sole discretion.
3. Account registration
You are responsible for maintaining the confidentiality of your SellerPipe account credentials and for all activity that occurs under your account. You must notify us at support@sellerpipe.xyz promptly if you suspect any unauthorized use. We are not liable for losses resulting from your failure to safeguard your credentials.
4. Authorization of third-party services
By connecting a Seller Central or Amazon Advertising account, you authorize SellerPipe to access, retrieve, store, and process the data those accounts expose, in accordance with the OAuth scopes you grant and with our Privacy Policy. You may revoke this authorization at any time from the SellerPipe dashboard or directly through Amazon's Seller Central or Advertising consoles. Revocation will not affect data already loaded into your destination warehouse, which remains under your sole control.
You acknowledge that your use of Seller Central and Amazon Advertising remains subject to Amazon's own terms, including the Amazon Services Business Solutions Agreement, the Selling Partner API Developer Agreement, and the Amazon Advertising API Terms of Use. Nothing in these Terms modifies your relationship with Amazon.
5. Subscription, fees, and billing
SellerPipe is offered on a subscription basis. The current pricing is published at sellerpipe.xyz/#pricing and may change with at least 30 days' notice for existing customers. Subscription fees are billed in advance on a recurring basis (monthly or annually, as you select) and are non-refundable except where required by law or expressly stated by us in writing.
If your payment fails or your account becomes past due, we may suspend the Service or terminate your account after providing reasonable notice. Late amounts may accrue interest at the lower of 1.5% per month or the maximum rate permitted by law. You are responsible for any taxes associated with your use of the Service (other than taxes on Wyrmspire's income).
6. Acceptable use
You agree not to, and not to allow any third party to:
- Use the Service in any way that violates applicable law, Amazon's terms, or the rights of any third party
- Attempt to gain unauthorized access to the Service, other users' accounts, or our infrastructure
- Reverse-engineer, decompile, or attempt to extract the source code of the Service, except to the extent expressly permitted by law
- Interfere with or disrupt the Service, including by exceeding rate limits, abusing APIs, or attempting to circumvent quotas
- Resell, sublicense, or otherwise make the Service available to third parties as a standalone product
- Use the Service to collect, store, or process personal data of individuals who have not consented to such processing
- Connect Seller Central or Advertising accounts that you do not have lawful authority to authorize
We may suspend or terminate your account at our discretion if we reasonably believe you have violated these acceptable-use rules.
7. Data ownership
You retain all rights, title, and interest in the data SellerPipe retrieves on your behalf and writes to your destination warehouse ("Customer Data"). You grant Wyrmspire a non-exclusive, worldwide, royalty-free license to access, process, transmit, and store Customer Data solely to provide and improve the Service to you, and as otherwise permitted by our Privacy Policy.
Wyrmspire retains all rights, title, and interest in the Service itself, including the SellerPipe software, infrastructure, documentation, and any aggregate or de-identified usage statistics that do not identify you or any individual.
8. Service availability and changes
We make commercially reasonable efforts to keep the Service available, but we do not guarantee uninterrupted access. The Service depends on third-party systems (including Amazon's APIs, Google Cloud, and our own cloud providers) whose availability is outside our control. Scheduled maintenance, third-party outages, and force majeure events may cause downtime.
We may modify, add, or remove features of the Service at any time. We will provide reasonable advance notice of any material changes that adversely affect existing customers.
9. Disclaimer of warranties
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT DATA WILL BE ACCURATE, COMPLETE, OR TIMELY.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WYRMSPIRE OR ITS OFFICERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
11. Indemnification
You agree to defend, indemnify, and hold harmless Wyrmspire and its officers, employees, and affiliates from any claim, loss, damage, liability, or expense (including reasonable attorneys' fees) arising out of (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party right (including Amazon's terms), or (d) any Customer Data you cause the Service to process.
12. Termination
You may terminate your account at any time by following the cancellation steps in your dashboard or by emailing support@sellerpipe.xyz. We may suspend or terminate your account immediately if you breach these Terms, if your account is past due, if required by law, or if continuing to provide the Service to you would create a security or legal risk.
Upon termination, your right to use the Service ends. We will handle your data in accordance with our Privacy Policy, including processing deletion requests within 30 days. Sections of these Terms that by their nature should survive termination (including Sections 7, 9, 10, 11, 13, and 14) will survive.
13. Governing law and dispute resolution
These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the state or federal courts located in Wyoming, and you consent to personal jurisdiction in those courts. The parties waive any right to a jury trial. If any provision of these Terms is held unenforceable, the remaining provisions will continue in full force and effect.
14. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
